๐ Please read these terms carefully. By creating a TRACKINN account or using our platform, you agree to be bound by these Terms & Conditions. If you disagree with any part, you must not use our services.
1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Hotel Owner", "User", or "Subscriber") and TRACKINN Technologies Pvt. Ltd. ("TRACKINN", "we", "us"). By registering an account, accessing, or using any part of the TRACKINN platform, you confirm that:
- You are at least 18 years of age and legally capable of entering a contract.
- You are authorized to bind the hotel business entity on whose behalf you register.
- You have read and agree to these Terms and our Privacy Policy.
2. Our Services
TRACKINN provides a cloud-based Hotel Property Management System (HPMS) that includes:
- Hotel Owner Dashboard (room management, check-in/out, billing, analytics)
- Guest/Traveller booking and digital check-in interface
- Admin control panel for platform management
- Sarai API integration for government compliance
- GST invoicing and financial reporting tools
- OTA channel management (where subscribed)
We reserve the right to modify, suspend, or discontinue any feature with 30 days' notice to registered subscribers. Critical security updates may be deployed without notice.
3. Accounts & Access
- Each hotel property requires one registered account. You are responsible for all activity under your account.
- You must provide accurate, complete, and current information during registration, including valid GSTIN and hotel details.
- You are responsible for maintaining the confidentiality of your password. Do not share login credentials with unauthorized persons.
- You may add staff sub-accounts with role-based permissions (Manager, Front Desk, Billing). You are responsible for all actions staff take on your account.
- You must promptly notify us at support@trackinn.in if you suspect any unauthorized access to your account.
- We reserve the right to suspend accounts suspected of fraudulent activity without prior notice.
4. Payments & Billing
- Subscription Fees: Plans are billed monthly or annually as selected. All prices are in INR and inclusive of applicable taxes.
- Starter Plan (โน0/month): Free for the first 30 days. Thereafter, the Starter plan includes basic features with limitations as stated on our pricing page.
- Paid Plans: Growth (โน2,999/month) and Enterprise (โน7,999/month) are billed at the start of each billing cycle.
- Payment Processing: Payments are processed via Razorpay. By subscribing, you authorize us to charge your selected payment method.
- Failed Payments: If payment fails, your account will be downgraded to the free tier after a 7-day grace period with prior notice.
- Price Changes: We will notify you of any price changes at least 30 days in advance via email.
- GST on Subscription: Applicable GST (18%) is charged on all subscription fees and reflected in invoices generated for your account.
5. Acceptable Use Policy
You agree NOT to use the TRACKINN platform to:
- Store false or fraudulent guest KYC information or submit incorrect data to the Sarai API.
- Process payments for illegal goods, services, or activities prohibited under Indian law.
- Reverse-engineer, decompile, or attempt to extract the source code of our software.
- Use automated bots or scripts to scrape data from the platform.
- Resell access to the platform without our prior written authorization.
- Upload malware, viruses, or any malicious code.
- Violate any applicable law, including the IT Act 2000, DPDP Act 2023, or GST regulations.
Violation of this policy may result in immediate account suspension and legal action.
6. Data Ownership & KYC Compliance
- Your Data: You retain ownership of all hotel and guest data you input into TRACKINN. We act as a data processor on your behalf.
- Sarai Compliance Responsibility: You, as the hotel licensee, are ultimately responsible for ensuring guest KYC data submitted via TRACKINN to the Sarai API is accurate and complete as required by the Ministry of Tourism.
- Data Export: You may export all your data at any time in CSV or JSON format from the platform settings.
- Data After Termination: Upon account termination, your data is retained for 90 days (for recovery) then deleted, except where legal retention is required (e.g., GST records).
7. Intellectual Property
All software, designs, trademarks, logos, and content on the TRACKINN platform are the exclusive property of TRACKINN Technologies Pvt. Ltd. and protected by Indian Copyright Act, 1957 and applicable international IP laws.
You are granted a limited, non-exclusive, non-transferable license to use the platform for your hotel operations during your subscription period. This license does not grant you ownership of any TRACKINN intellectual property.
8. Limitation of Liability
To the maximum extent permitted by law:
- TRACKINN's total liability to you for any claim arising from use of the platform shall not exceed the subscription fees paid by you in the 3 months preceding the claim.
- We are not liable for any indirect, incidental, special, or consequential damages including loss of revenue, business interruption, or data loss.
- We do not guarantee uninterrupted service. While we target 99.9% uptime, planned maintenance may cause brief downtime with prior notice.
- We are not responsible for penalties from government authorities resulting from inaccurate Sarai or GST data submitted by hotel operators.
9. Termination
- By You: You may cancel your subscription at any time from account settings. Cancellation takes effect at the end of the current billing cycle.
- By TRACKINN: We may suspend or terminate your account with 30 days' notice for non-payment, or immediately for serious policy violations.
- Effect of Termination: Upon termination, your access to the platform ends. You may request a data export within 90 days before data is permanently deleted.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.
Before initiating legal proceedings, both parties agree to attempt good-faith resolution through negotiation or mediation for a period of 30 days.
11. Changes to These Terms
We may update these Terms periodically. We will notify all registered users via email at least 30 days before material changes take effect. Continued use of the platform after the effective date of changes constitutes your acceptance of the updated Terms.
